Role of the Board
The Board’s role is to oversee the management of the Company ensuring long term viability and financial strength into the future. It represent the best interests of the key stakeholders of the company, its shareholders staff and clients. The board is also responsible for approving the strategic plan for the company's future development and growth.
The Board has developed and adopted a Charter that sets out:

Values and Standards – setting the Company’s values and standards of conduct and monitoring adherence to these standards in the interest of the Company’s shareholders, employees, customers, suppliers and the communities in which it operates and, generally, safeguarding the reputation of the Company.

Leadership – providing leadership of the Company within a framework of effective controls which enable risk to be assessed and managed.

Direction and Objectives – approving the Company’s direction, strategies, financial objectives and being satisfied that the necessary financial and human resources are in place for the company to meet its objectives.

Performance Assessment – ensuring that the performance management, and the Board itself, is regularly assessed and monitored.

Compliance – monitoring compliance with regulatory and ethical standards.

Appointment of Managing Director – appointing, terminating and reviewing the performance of the Managing Director.

Risk Management
The Board has overall responsibility for the PrincipleFocus systems of internal control. These systems are designed to ensure effective and efficient operations, including financial reporting and compliance with laws and regulations, with a view to managing the risk of failure to achieve business objectives.
The Board reviews the effectiveness of the internal control systems and risk management on an ongoing basis.
